# PHOTOGRAPHY LICENSE AGREEMENT

## 2. SUBJECT MATTER

2.1. The Photographer grants the Client a license to use the photographic works ("Images") created during project **"[PROJECT_NAME]"** on **[SHOOT_DATE]**, on the terms set out in this Agreement, per ЗАПСП Art. 36.

2.2. The Images consist of **[IMAGE_COUNT]** edited files delivered as JPEG, sRGB color space, 3000px on the longest edge. The exhaustive file list is in **Schedule A** or accessible at: **[GALLERY_URL]**

2.3. **Commissioned-work reservation** (ЗАПСП Art. 42(1)): Copyright in the Images remains with the Photographer. The Client may use the Images solely within the scope explicitly described in Section 3 below. Any use beyond that scope, even for other purposes of the same Client, requires a separate license (ЗАПСП Art. 42(2)).

2.4. **Moral rights** (ЗАПСП Art. 15 — right of paternity, right of integrity, right of disclosure and withdrawal) are inalienable by law and cannot be the subject of any clause in this Agreement. Any contractual provision contrary to ЗАПСП Art. 15-16 is null and void.

2.5. **Economic rights** (ЗАПСП Art. 18): only the modes of use explicitly enumerated in Section 3 may be licensed. Non-enumerated modes are not transferred (rule of express grant, ЗАПСП Art. 36(2)).

## 3. LICENSE SCOPE

### 3.4. License Duration (ЗАПСП Art. 36(5) and Art. 37)

> **"Perpetual" or "in-perpetuity" licenses are not permissible** under Bulgarian law for natural-person authors. Long-term use is achieved through renewal.

The term starts on **full payment of the consideration** under Section 5.3, not on the execution date.

### 3.5. Exclusivity (ЗАПСП Art. 36(1) and (4))

### 3.6. Termination for non-use of exclusive license (ЗАПСП Art. 39)
If the license is **exclusive** and the Client does not commence use of the Images within **2 years** of execution, the Photographer may unilaterally terminate the Agreement and recover full rights.

## 4. RESTRICTIONS AND PROHIBITED USES

4.1. **AI / Machine Learning.** The Client shall not, and shall not permit any third party to, use the Images as:
- input data for training, fine-tuning, or RAG of artificial-intelligence or generative-AI models;
- reference for derivative AI-generated images (image-to-image, inpainting, outpainting, style transfer);
- material in any dataset for machine-learning, embeddings, or vector-database indexing.

This is an express **opt-out under Art. 4(3) of Directive (EU) 2019/790** (DSM Directive), transposed in Bulgarian law via ЗАПСП Art. 24a.

4.2. **Resale and Sub-licensing.** The license is non-transferable (ЗАПСП Art. 36(1)). The Client shall not:
- provide the Images to any third party (including its subsidiaries or affiliated entities) beyond the scope of this Agreement;
- sell the Images via stock agencies or platforms;
- sub-license rights to third parties.

Use by a subsidiary or affiliated entity requires a **separate written license extension** against additional consideration.

4.3. **NFT / Blockchain.** The Images may not be minted as NFTs, used on blockchain platforms, or included in any Web3 project without a separate written license.

4.4. **Derivative works** (ЗАПСП Art. 18(2)(6)). Permitted only:
- color correction within the Client's brand guidelines;
- cropping that does not break the composition;
- resizing for platform requirements.

**Not permitted without express written authorization:**
- background replacement / element removal;
- substantial retouching that alters the character of the image;
- composition into photomontage with other images;
- use of the Images as the base for AI-augmented derivative works.

4.5. **Context restrictions.** The Images shall not be used in:
- defamatory, abusive, or discriminatory contexts;
- pornographic or sexually explicit material;
- political propaganda without a specific separate agreement;
- contexts violating the right of integrity (ЗАПСП Art. 15(1)(5)) or harming the reputation of depicted persons or the Photographer.

4.6. **Metadata preservation.** Where technically possible, the Client shall preserve embedded IPTC/XMP credit metadata. On platforms that strip metadata (Instagram, Facebook), the Client shall include a visible credit line "Photo: TSARKOV STUDIO" in the publication.

4.7. **Rights of depicted persons** (ЗАПСП Art. 13): The Client warrants that it holds all necessary model releases from depicted persons for commercial use, and that all portrait use complies with Regulation (EU) 2016/679 (GDPR).

## 5. CONSIDERATION AND PAYMENT (ЗАПСП Art. 19 and Art. 38)

5.1. **Total license fee:** **[FEE]** EUR

5.2. **VAT:**
- Bulgarian clients — VAT-registered Photographer: **+ 20% VAT** (ЗДДС Art. 66(1));
- Bulgarian clients — non-VAT-registered Photographer: invoice issued without VAT with note "не е начислен ДДС на основание чл. 113, ал. 9 ЗДДС";
- **EU B2B clients** with valid VAT ID: **reverse charge** under ЗДДС Art. 21(2) and Art. 44 of Directive 2006/112/EC — invoice issued without VAT, Client self-accounts for VAT in its country. Note: *"Reverse charge — ЗДДС Art. 21(2)"*;
- **Non-EU clients**: service outside the scope of Bulgarian VAT (ЗДДС Art. 21(2)) — invoice without VAT, note "outside scope".

5.3. **Payment schedule:**
- Non-refundable deposit on signing: **50% — [DEPOSIT_AMOUNT] EUR**;
- Final balance on delivery: **50% — [FINAL_AMOUNT] EUR**, due within **14 calendar days** of invoice issuance.

5.4. **License takes effect ONLY upon full payment of the amount in Section 5.1.** Any use prior to this constitutes copyright infringement under ЗАПСП Art. 95a.

5.5. **Late payment** (Directive 2011/7/EU, transposed in Bulgaria via ЗПФУПС). Overdue amounts shall bear interest at the **ECB reference rate plus 8 percentage points per annum**, plus a fixed recovery sum of **EUR 40** per overdue invoice, plus reasonable costs of recovery.

5.6. **Fee adaptation** (ЗАПСП Art. 38(3) — "bestseller clause"). If the Client's revenues from use of the Images prove manifestly disproportionate to the agreed fee, the Photographer is entitled to claim fair additional compensation. This right cannot be waived.

## 6. DELIVERY AND ACCEPTANCE

6.1. **Place of delivery:** online gallery at the address listed in Section 2.2, with a password sent to the Client by email.

6.2. **Delivery date:** **[DELIVERY_DATE]** or **[X_WEEKS]** weeks after the shoot.

6.3. **Access period:** the gallery remains active for **6 months** from delivery. The Photographer retains backups for **2 years** after delivery. Beyond that, the Photographer assumes no responsibility for loss of originals.

6.4. **RAW files reservation.** RAW files (NEF, ARW, CR3, etc.) are **NOT delivered** to the Client and remain the exclusive property of the Photographer.

6.5. **Artistic discretion.** Final selection of the Images is at the Photographer's sole artistic discretion. Unselected frames (outtakes) are not subject to delivery.

6.6. **Revisions.** The license includes **up to 2 rounds** of color corrections on specific files. Additional revisions are billed at **EUR 30 / hour**.

## 7. RIGHT OF ATTRIBUTION (ЗАПСП Art. 15(1)(4))

7.1. For **editorial** use (news articles, magazines, portfolio publications), the Client shall publish the credit **"Photo: TSARKOV STUDIO"** or **"Photographs: TODOR TSARKOV"** adjacent to each image.

7.2. For **advertising** use, attribution is not required, but the Client may not attribute authorship to a third party.

7.3. **Moral rights are non-waivable** (ЗАПСП Art. 15). No clause of this Agreement may be interpreted as a waiver of moral rights. Attempts to circumvent (e.g. "buyout" clauses) are null and void in that part.

## 8. LIABILITY AND INDEMNITIES

8.1. **Photographer's liability cap.** Total aggregate liability of the Photographer under this Agreement is limited to the **total fee paid under Section 5.1**, except for cases of:
- willful misconduct;
- gross negligence;
- infringement of third-party moral rights.

The Photographer shall not be liable for indirect, consequential, or loss-of-profits damages.

8.2. **Client's warranties.** The Client warrants and represents that:
- it holds all necessary releases (model release, property release) for persons and objects depicted;
- it has authority to publish the Images on the platforms it specifies, and assumes responsibility for any implied licenses granted to platforms (e.g. Instagram TOS);
- it shall indemnify the Photographer against any third-party claims arising from use of the Images beyond the Photographer's responsibility.

8.3. **Breach by the Client.** Use of the Images beyond the scope of this license constitutes copyright infringement and leads to:
- automatic termination of the license without need for prior notice;
- **damages equal to three times the original license fee** per unauthorized use (under ЗАПСП Art. 95a(1) — statutory damages of BGN 500 to 100,000 or triple the infringing use value);
- reimbursement of enforcement costs, including legal fees.

## 9. TERMINATION

9.1. **For non-payment.** If the final payment is not received within Section 5.3 + 14 days grace, the Agreement is automatically terminated and the Client shall immediately cease all use of the Images. The deposit is non-refundable.

9.2. **For material breach** of Section 4 restrictions — the Photographer may terminate by unilateral written notice if the breach is not cured within **14 days** of notice.

9.3. **For non-use of exclusive license** (ЗАПСП Art. 39) — the Photographer may terminate an exclusive license if the Client has not commenced use within 2 years.

9.4. **Consequences of termination.** Within **30 calendar days**, the Client shall:
- remove the Images from all online platforms under its control;
- cease printing new materials bearing the Images;
- destroy digital copies in its archive (with written confirmation).

Already-distributed printed materials (brochure runs, billboard campaigns) need not be recalled, but no reprints are permitted.

## 10. FORCE MAJEURE

The Parties shall not be liable for non-performance caused by:
- natural disasters (earthquake, flood, hurricane);
- war, armed conflict, terrorist act;
- governmental order (quarantine, travel ban);
- global pandemic with lockdown.

**NOT** force majeure: Client's budgetary changes, internal restructuring, competitive circumstances.

## 11. GOVERNING LAW AND DISPUTES

11.1. **Governing law:** the laws of the Republic of Bulgaria.

11.2. **Jurisdiction:** the Burgas Regional Court, except where mandatory jurisdiction applies by law.

11.3. **EU B2B clients:** Regulation (EC) No 593/2008 (Rome I) applies — the choice of Bulgarian law is express and binding on both Parties.

11.4. **Mediation before court.** The Parties undertake to make a good-faith attempt to resolve any dispute through direct negotiations and mediation for **30 days** before filing in court (Bulgarian Mediation Act, Unified Registry of Mediators).

## 12. MISCELLANEOUS

12.1. This Agreement constitutes the entire agreement between the Parties and supersedes any prior oral or written understandings on the same subject matter.

12.2. Amendments are made only by a written supplementary agreement signed by both Parties.

12.3. If any clause is held to be null or unenforceable, the remaining clauses retain full effect. The nullity of an individual clause does not entail nullity of the entire Agreement.

12.4. The Agreement is executed in **2 identical counterparts** — 1 for each Party. Electronically signed copies (qualified electronic signature under eIDAS Regulation (EU) 910/2014) have the same legal force as handwritten signatures.
